Terms of Service

1. Acceptance of Terms

By accessing or using any service offered by Iron Digital ("Company," "we," "our," or "us"), including our website at irondigitalmi.com and our software products (Grant Flow, Reputate, Sorting Source), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services.

2. Services Provided

Iron Digital provides the following categories of services:

• Custom web development and design for businesses and organizations.
• AI workflow automation and custom software application development.
• Proprietary SaaS products including Grant Flow, Reputate, and Sorting Source.
• Digital strategy, SEO consulting, and ongoing website maintenance subscriptions.

3. Project Agreements and Payment

All web development and custom software projects require a signed project agreement and deposit before work begins. Project scope, timelines, and deliverables are defined in the individual project agreement. Iron Digital reserves the right to pause or terminate work on any project where payment terms are not met. Deposits are non-refundable once work has commenced.

4. Ownership and Intellectual Property

Upon receipt of full payment, the client receives full ownership of the delivered website design and associated custom code. Iron Digital retains the right to display completed work in our portfolio unless otherwise agreed in writing. Our proprietary SaaS products (Grant Flow, Reputate, Sorting Source) remain the intellectual property of Iron Digital. Subscription access grants a non-exclusive, non-transferable license to use the software during the active subscription period.

5. SaaS Subscriptions

Subscriptions to Iron Digital software products are billed on a recurring monthly or annual basis. Subscriptions automatically renew unless cancelled before the next billing cycle. Iron Digital reserves the right to modify subscription pricing with 30 days written notice. Access to the software is suspended upon non-payment.

6. Limitation of Liability

Iron Digital shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services or software, including loss of revenue, data, or business opportunities. Our total liability for any claim related to our services shall not exceed the total amount paid by the client in the 90 days preceding the claim.

7. Acceptable Use

You agree not to use Iron Digital services or software to:

• Violate any applicable local, state, or federal law or regulation.
• Transmit spam, malware, or any malicious code.
• Infringe upon the intellectual property rights of any third party.
• Engage in any activity that disrupts or interferes with our services or infrastructure.

8. Termination

Iron Digital reserves the right to terminate or suspend access to our services at our sole discretion, without notice, for conduct that we believe violates these Terms of Service or is harmful to other clients, us, third parties, or the public.

9. Governing Law

These Terms of Service are governed by the laws of the State of Michigan, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Wayne County, Michigan.
